- Who the parties are — the Supligo legal entity, and the supplier business (not the individual signing).
- What the service is, and explicitly what it is not: Supligo is software. It does not buy, sell, own, transport or take title to any goods, and is not a party to any transaction between a supplier and their customer.
- Subscription, billing period, price changes and notice. (Business model in docs/WORK-ORDER.md §0: $299 / $699 / $1,299 per month, banded on customers, vehicles and AI-processed orders — never per user. 14-day trial, card required.)
- Termination by either side, notice period, and what happens to data after termination — this must match the export and deletion behaviour the product actually has.
- Acceptable use, and suspension for non-payment or abuse.
- Availability: any uptime commitment, or an explicit statement that none is given during the pilot.
- Liability cap and exclusions, warranty disclaimer.
- Governing law and venue (Ontario, presumably) and dispute resolution.
- How changes to these terms are notified and accepted — the system records acceptance per version, so the drafting should assume re-acceptance on material change.
Facts about how Supligo actually works
Verified against the code, for whoever drafts this. Do not restate any of it from memory — it changes, and this list is maintained alongside the system it describes.
- AI reads customer order messages and turns them into structured orders. It is assistive and can be wrong; a human on the supplier side reviews and confirms every order before it is acted on.
- Invoices are generated from what was actually delivered, including catch-weight adjustments. Supligo does not process payments between supplier and buyer and holds no funds.
- Order messages are sent to Anthropic for processing. That is a sub-processor relationship and must be disclosed here and in the privacy policy.
- Supplier staff sign in with a name and a PIN on shared devices. The account owner is responsible for who they hand a PIN to.
- Supligo operators can view a tenant workspace for support, with a reason recorded, read-only by default, for at most 60 minutes, and the tenant is shown a banner while it happens (package A-1a). This should be described, not buried.
